(“Source”). The Registrant thereby agrees to perform the services detailed above in connection with the Source Capital Group Small Cap Virtual Conference held May 18-19, 2010 (the “Conference”). The Registrant agrees to submit payment for the Conference on or before May 7, 2010 in the amount as indicated above. If payment is not received by this date, Source reserves the right to reject or withdraw the registration of any Registrant. All decisions by Source are final and subject to recourse. The Registrant agrees to indemnify, hold harmless and defend Source from and against any and all claims, liabilities or damages, including costs, expenses, and reasonable attorneys’ fees, which may arise from any actual or threatened proceeding brought by any third party against Source as a result of the action or inaction of the Registrant in connection with the Conference; provided, however, that this indemnity shall not apply where a court of competent jurisdiction has found willful misconduct or gross negligence on the part of Source in the performance of the services hereunder and to the extent that such willful misconduct or gross negligence resulted in such losses.
